These Terms of Use for Drivers govern access to and use of FUDI Drivers and any associated portal, application, system, support channel, logistics network, or tool.

These Terms of Use for Drivers govern access to and use of FUDI Drivers and any associated portal, application, system, support channel, logistics network, or tool.
FUDI provides a technology platform that facilitates connections among independent Drivers, Restaurants, and Customers for delivery services. FUDI does not guarantee minimum order volume, minimum earnings, schedules, exclusivity, or operational continuity.
To use FUDI Drivers, the Driver must: 1. Be at least 18 years old. 2. Hold valid identification. 3. Have a valid driver’s license if using a motor vehicle. 4. Have a current vehicle registration, when applicable. 5. Maintain current insurance as required by applicable law. 6. Pass identity, background, or document verifications that FUDI may reasonably require.
The Driver represents that all information provided is truthful, accurate, and up to date. FUDI may suspend the account for incomplete, false, or expired documentation.
The Driver may freely go online and offline. The Driver may accept or reject delivery opportunities. The Driver is responsible for the proper use of the device, connectivity, navigation, equipment, and vehicle.
The Driver must: 1. Treat Customers, Restaurants, and support staff respectfully. 2. Maintain professional and safe conduct. 3. Not improperly tamper with orders. 4. Not consume alcohol or drugs before or during deliveries. 5. Comply with traffic laws and applicable rules. 6. Keep food reasonably protected during delivery.
The Driver is solely responsible for the mechanical, legal, and insured condition of the vehicle, bicycle, scooter, or transportation method used.
The Driver will use, where applicable, safety equipment and reasonable food-carrying equipment.
FUDI does not provide a vehicle, fuel, phone, data plan, or tools, unless under a specific written agreement.
The Driver must maintain at all times: 1. Current motor vehicle insurance, when applicable. 2. Any other insurance required by law for service provision. 3. Valid and up-to-date proof of insurance. Failure to maintain current insurance authorizes FUDI to immediately suspend or deactivate the Driver.
The Driver will receive payments according to the current compensation structure communicated by FUDI.
FUDI may retain, adjust, or offset amounts for fraud, errors, chargebacks, refunds, unearned incentives, or verified claims.
Tips belong to the Driver in accordance with the Platform’s current policy.
The Driver is responsible for taxes and tax obligations.
Use of the Platform does not create an employment, agency, partnership, franchise, joint venture, or representative relationship between the Driver and FUDI. The Driver provides services as an independent contractor under the applicable separate agreement.
FUDI may conduct reviews of documentation, background, performance, location, fraud, safety, and quality to the extent permitted by law.
FUDI may suspend or deactivate the Driver for: 1. Expired or false documents. 2. Serious or repeated complaints. 3. Unsafe or illegal conduct. 4. Fraud or system manipulation. 5. Recurrent low quality. 6. Breach of these Terms.
To the fullest extent permitted by law, FUDI will not be liable for indirect damages, incidental damages, loss of income, loss of opportunities, vehicle damage, fines, injuries, or claims arising from the Driver’s conduct, third parties, traffic, weather conditions, or use of the Platform, except for willful misconduct or non-waivable gross negligence.
The Driver will indemnify and hold FUDI harmless from claims, damages, fines, penalties, losses, and reasonable expenses arising from: 1. The Driver’s driving, acts, or omissions. 2. Traffic-law or regulatory violations. 3. Lack of insurance. 4. Injuries, accidents, or third-party damage caused by the Driver. 5. Breach of these Terms.
The app, software, brand, systems, and materials of FUDI belong to FUDI. The Driver receives only a limited, revocable, non-exclusive license to use them.
Governed by Florida law, with venue in [COUNTY, FLORIDA], unless a separate arbitration agreement applies.
INDEPENDENT DELIVERY SERVICES AGREEMENT. This Independent Delivery Services Agreement (the "Agreement") is entered into by and between [LEGAL NAME OF FUDI] ("FUDI") and the independent service provider identified during registration (the "Driver").
The Driver may, at the Driver’s sole discretion and when connected to the Platform, accept opportunities to perform pickup and delivery services for orders managed through FUDI.
The Driver is and will remain an independent contractor.
Nothing in this Agreement creates an employment, payroll, agency, mandate, partnership, franchise, or joint venture relationship.
The Driver controls the manner, time, route, and lawful means of performing the service, subject only to minimum operational outcomes of the Platform and applicable law.
The Driver may decide when to go online, go offline, accept, or reject services.
The Driver may provide services to third parties, including competing platforms, except during a delivery already accepted.
FUDI does not guarantee the Driver any minimum number of orders, minimum income, working hours, exclusive territories, or continuity.
The Driver will be solely responsible for: 1. Vehicle and maintenance. 2. Fuel, tolls, parking, and fines. 3. Phone, data plan, battery, and connectivity. 4. Licenses, registrations, and permits. 5. Thermal bag and reasonable food-delivery equipment, unless FUDI voluntarily provides materials without creating an employment relationship.
The Driver will maintain current and sufficient insurance at all times as required by applicable law.
The Driver will provide FUDI with current proof of insurance, license, registration, and other requested documents.
If any document expires, access will be immediately suspended until updated.
The Driver assumes full responsibility for operating without valid coverage.
FUDI will pay the Driver for completed services according to the current compensation policy, which may include a base fare, distance component, incentives, and tips.
FUDI may modify the compensation policy prospectively with reasonable notice within the app or by other means.
FUDI may offset amounts for errors, fraud, reversals, unearned incentives, damage attributable to the Driver, or duplicate payments.
The Driver acknowledges that: 1. The Driver will not receive wages or employment benefits. 2. There will be no tax withholding unless legally required. 3. The Driver will be solely responsible for reporting and paying federal, state, and local taxes arising from the Driver’s income.
The Driver agrees to comply with all traffic laws, road-safety rules, and applicable regulations.
The Driver will not operate under the influence of alcohol, drugs, or medication that impairs ability.
The Driver will not allow unauthorized third parties to use the Driver’s account.
The Driver acknowledges that FUDI does not control the details of how the service is performed beyond reasonable platform standards, order integrity, safety, and legal compliance.
Material breaches include: 1. Fraud, self-orders, duplicate accounts, or system manipulation. 2. Sharing the account with third parties. 3. Fake or unperformed deliveries. 4. Theft, tampering with, or consuming order contents. 5. Harassment, violence, threats, or discrimination. 6. Operating without insurance or with expired documents.
The Driver is exclusively responsible for the Driver’s acts, omissions, driving, handling of the vehicle, and interactions with third parties.
FUDI will not be responsible for accidents, injuries, property damage, fines, infractions, crimes, civil claims, vehicle damage, medical expenses, or losses caused by or suffered by the Driver, except where liability cannot be waived by law.
The Driver assumes the ordinary risk of independent activity.
To the fullest extent permitted by law, the Driver releases, will defend, indemnify, and hold harmless FUDI and its affiliates, directors, employees, and agents from any claim, action, loss, liability, cost, or expense (including reasonable attorneys’ fees) related to: 1. Accidents or injuries caused by the Driver. 2. Damage to third-party property. 3. Lack of insurance or documents. 4. Legal or contractual noncompliance. 5. Intentional, negligent, or reckless acts of the Driver.
FUDI may request document updates, revalidations, identity checks, background checks, and performance reviews at any time.
This Agreement begins upon digital acceptance and continues until terminated.
Either party may terminate it at any time.
FUDI may suspend or terminate immediately for risk, fraud, safety, breach, or legal requirement.
The Driver will use Customer and Restaurant data solely to complete deliveries and not for personal purposes, marketing, or outside solicitation.
The Driver may not assign this Agreement. FUDI may do so in reorganizations, sales, or financing transactions.
It will be governed by Florida law. Exclusive venue will be in [COUNTY, FLORIDA], unless FUDI implements binding arbitration.
The Driver agrees that an electronic signature, click acceptance, or continued use of the Platform will have the same effect as a handwritten signature.
